Community Sponsorship Agreement

In an effort to promote the PowerShell ecosystem and community, SynEdgy Limited is offering to sponsor PowerShell User Groups, sometimes referred as PSUGs, under the following conditions.

By using and organising events through the sponsored materials and platforms provided by SynEdgy, you accept to uphold SynEdgy’s values of creating a safe and welcoming environment for all to learn and progress in PowerShell, and to follow the terms and conditions below.

1. Purpose of the Agreement

This agreement outlines the terms and conditions under which SynEdgy provides the User group organisers with access to platforms, tools and networks for the organisation and promotion of PowerShell User Group (PSUG) events.

The first condition to apply for the sponsoring is to have a group that is focused on PowerShell, although it could also target other topics. The user group name, however, must include PowerShell in its full form (or P or PS if it’s an acronym).

SynEdgy reserves the right to decline any application on a discretionary basis.

Once accepted, SynEdgy may provide some of the following under certain conditions:

  • com subscription
  • PSUG marketing Kit
  • Gather events on our PSWorld map
  • Help in finding speakers
  • Help with communication for your group

2. Responsibilities

SynEdgy provides its services under the conditions defined in this agreement but assumes no responsibility for the quality, management, or execution of events organised by the User Group organisers. SynEdgy only sponsors the platform and tools to help the organisers.

3. Termination

At any time, the user group organisers or SynEdgy may terminate the relationship by providing a termination notice via email to all parties. Should the user group have more than one organiser, both should send a 30-day termination notice.

Upon termination of the agreement, the usage of the provided materials and platform must stop.

The platform and tools sponsored by SynEdgy remains SynEdgy’s property unless otherwise agreed in writing.

4. Sponsorship of Meetup group fees

SynEdgy offers to absorb the cost of maintaining a 12-months subscription to meetup.com for your User Group, under the following conditions:

  • The group must be hosted under the meetup “SynEdgy network” (for billing purposes, under our Pro plan)
  • You are autonomous and active in organising your group. Lack of activity from a user group would terminate this agreement.
  • We reserve the right to remove/grant permissions from this group should you become inactive or unresponsive.
  • Your user group must use and enforce a code of conduct to ensure that the community we’re building is a safe place for all participants.

5. Hosting events on Gather, on our PSWorld map

SynEdgy is happy to host your user group events online, on our PSWorld map built on the Gather platform and pay the seat reservations for the event:

  • Your participants must agree to use the platform in accordance with our terms of use and Code of Conduct (CoC).
  • SynEdgy is not responsible for organising the content and finding speakers.
  • SynEdgy will only grant access to participants once you have provided us with their full name and email address in advance. This is to ensure that we have the means to ban offenders and avoid spammers to access your event.

The seat reservation may be for less than registered users to avoid overpaying for no-shows. Should the number become insufficient, please let us know asap so we can correct.

6. Obligations of the Organisers

6.1 – Regular Organization of Meetups

The user group organisers agree to regularly and periodically organise meetups either online or in-person to ensure the active engagement of the community.

6.2 – Content Responsibility

The User Group organisers are responsible for the quality, accuracy, and appropriateness of the content presented during events organised with the help of the SynEdgy-sponsored tools and platforms. The User Group organisers ensures that the content complies with the CoC and any other applicable regulations.

6.3 – Authorisation to record and distribute sessions

The User Group organisers grant SynEdgy permission to record sessions conducted during the meetups and to distribute these recordings across SynEdgy’s networks, including but not limited to social media channels, websites, and other communication platforms.

Should you wish to record and distribute the content freely, we’re happy to refrain from duplicating that content.

6.4 – Mention of the sponsor in Communications

The User Group organisers agree to acknowledge and mention SynEdgy as sponsor in most communications and promotions related to the online events organised through the use of the sponsored tools and platforms. This includes but is not limited to event descriptions, social media posts, and promotional materials.

7. Communication User Group Events

SynEdgy is authorised, but not obligated, to promote or communicate about events organised by the user group organisers through its own networks and social media channels.

  • These communications may include announcements, content sharing, or promotions related to the events.

8. Obligations of the Organisers

8.1 – Image rights

The user group organiser must obtain the necessary rights for the images, videos, or multimedia content they use during events.

SynEdgy reserves the right to use these images in its communications, provided that the appropriate permissions have been obtained.

8.2 – Right to remove a sponsor

If the user group organisers associates with a sponsor that violates SynEdgy’s CoC or this agreement, SynEdgy reserves the right to ask the organisers to remove the sponsor from the event and request that they cease all association with the sponsor or terminate this agreement.

8.3 – Right to ban an attendee

SynEdgy reserves the right to ban any attendee from its platforms and affiliated groups in the event of a CoC violation or inappropriate behaviour.

Should the attendee have an offensive behaviour reported directly to SynEdgy, we may ask the organisers to take appropriate measure, including banning that person from further events.

8.4 – Right to replace an organiser

Should an organiser fail to comply with the CoC, become inactive or unreachable for an extended period, or fail to behave in a professional manner, SynEdgy reserves the right to remove that person’s organiser access on the platforms and appoint new organisers for the survival of the group.

8.5 – Right to replace an organiser

SynEdgy reserves the shutdown any group that becomes inactive, operates solely online, or if no one is willing to take over the group and cover the subscription fees.

8.6 – Right to reach out to attendees

SynEdgy reserves the right to communicate directly with the user group members, via the platform they’ve subscribed to, to inform them of relevant PowerShell events, in accordance with GDPR.

9. Acceptance

The User group organisers acknowledges that they have read, understood, and accepted the terms and conditions outlined above.

By using the sponsored platform or materials, the user group organisers are operating under this agreement, and if a notice to terminate this sponsorship agreement has been served by the group organisers it will be considered void. The notice will have to be sent once usage of the platform and materials have stopped.

 

This agreement may be amended by SynEdgy at any time. Any changes will be communicated to the user group organisers with notice.
